Welcome to Perisclaw.

These Terms of Service explain how you may access and use Perisclaw, including our website, AI executive assistant, connected tools, software, documentation, and related services.

Perisclaw is provided by Hashlabs Holdings Inc. (“Perisclaw,” “we,” “our,” or “us”). By using Perisclaw, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use Perisclaw.

1. What Perisclaw Is

Perisclaw is your AI executive assistant. It helps you manage conversations, follow-ups, calendar events, emails, files, and tasks across the tools you already use.

It operates through your own connected WhatsApp number and works within your existing conversations based on the permissions you grant.

Perisclaw can read, write, summarize, organize, and take actions on your behalf across connected tools.

Perisclaw uses AI systems to understand instructions and perform tasks.
AI can make mistakes. Perisclaw is designed to assist your work, not replace your judgment.

You are responsible for reviewing important outputs, actions, messages, code, and decisions before relying on them.

Perisclaw does not provide legal, medical, financial, tax, or other professional advice.

2. Eligibility

You must be at least 13 years old, or the minimum age required in your country, to use Perisclaw.

If you are under 18, you must use Perisclaw with permission from a parent or legal guardian.

3. Your Account

You are responsible for your account and all activity that occurs through it.

Keep your credentials secure. Anyone with access to your account may be able to act as you.

If you believe your account has been compromised, contact swapnika@perisclaw.com.

We may suspend or terminate accounts that:

• Violate these Terms

• Create security or legal risk

• Abuse the service

• Must be restricted for operational or legal reasons

4. Access to Perisclaw

We grant you a limited, non-exclusive, non-transferable right to use Perisclaw for personal, team, or internal business use.

Perisclaw is an evolving product. Features may change, be limited, or be discontinued.

We may introduce limits, access controls, or restrictions to maintain reliability and security.

If we introduce paid plans, pricing and billing terms will be provided separately or incorporated into these Terms.

5. Security and Permissions

Perisclaw is built around isolation and permission control.

Each user operates in a separate environment with independent memory, state, and access controls.

Your agent can only access the chats, tools, and accounts you allow.

You control:

• What services are connected

• What data is accessible

• What actions are permitted

You are responsible for:

• The permissions you grant

• The services you connect

• The actions you allow your agent to take

6. Your Data

As between you and Perisclaw, you own your data.

This includes prompts, chats, files, connected service content, outputs, and other materials you provide or generate.

You grant Perisclaw a limited right to process your data only as needed to provide, maintain, and secure the service, as described in our Privacy Policy.

You represent that you have the necessary rights to provide any data, credentials, or connected account access.

7. AI Outputs

Perisclaw may generate text, code, summaries, recommendations, or take actions using AI.

Outputs may be incomplete, inaccurate, outdated, or not suitable for your use case.

You are responsible for reviewing and validating outputs before relying on them.

Perisclaw does not guarantee outputs are accurate, original, non-infringing, or fit for a specific purpose.

Similar outputs may be generated for other users.

8. Connected Services

Perisclaw may connect with third-party services and tools.

When you connect a service, you authorize your agent to access and use that service based on the permissions you grant.

Your use of those services is governed by their own terms and policies.

Perisclaw is not responsible for third-party services, including their availability, behavior, security, or data practices.

9. Acceptable Use

You agree not to use Perisclaw to:

• Break the law or violate rights

• Harm, harass, or impersonate others

• Send spam, phishing, or malicious content

• Access systems or data without permission

• Abuse, disrupt, or overload the service

• Bypass safeguards or controls

• Attempt prompt injection, jailbreaks, or unauthorized tool access

• Use data or accounts you are not authorized to use

• Use Perisclaw in violation of applicable sanctions or export restrictions

• Build or operate a competing product in violation of these Terms

We may suspend or terminate access immediately if misuse or risk is detected.

10. Intellectual Property

Perisclaw owns the service, including software, systems, design, and branding.

You may not copy, modify, resell, or reverse engineer Perisclaw except as allowed by law.

You retain ownership of your data.

If you provide feedback, we may use it without restriction.

11. Privacy and Deletion

Our Privacy Policy explains how your data is handled.

You can delete your account at any time. Deletion removes or de-identifies your data, subject to limited legal and operational requirements.

12. Copyright

If you believe content infringes your rights, contact swapnika@perisclaw.com with relevant details.

We may remove content or terminate accounts where appropriate.

13. Disclaimers

Perisclaw is provided “as is” and “as available.”

We do not guarantee continuous availability, error-free operation, complete security, or the accuracy of outputs.

You are responsible for backing up important data and reviewing outputs before relying on them.

14. Limitation of Liability

To the fullest extent allowed by law, Perisclaw is not liable for:

• Indirect, incidental, special, or consequential damages

• Lost profits, revenue, data, or business

• AI errors or inaccurate outputs

• Actions taken based on your permissions or instructions

• Third-party service failures

• Unauthorized access due to compromised credentials

Our total liability is limited to the greater of:

• $100, or

• The amount you paid Perisclaw in the 12 months before the claim

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

15. Indemnity

You agree to indemnify and hold harmless Hashlabs Holdings Inc., Perisclaw, and their officers, directors, employees, contractors, and agents from claims arising from:

• Your use of the service

• Your data or instructions

• Your violation of these Terms

• Your violation of law or third-party rights

• Use of Perisclaw through your account

• Your connected services

16. Termination

You may stop using Perisclaw at any time.

We may suspend or terminate access if needed for security, legal, or operational reasons.

After termination, your right to use the service ends immediately. Certain provisions will continue to apply after termination, including ownership, disclaimers, limitation of liability, indemnity, governing law, and disputes.

17. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law rules.

Disputes will be handled in courts located in Delaware, unless required otherwise by law.

18. Changes

We may update these Terms from time to time.

If changes are material, we will take reasonable steps to notify you.

Continued use of Perisclaw after changes take effect means you accept the updated Terms.

19. Miscellaneous

These Terms and the Privacy Policy are the entire agreement between you and Perisclaw.

If any provision is unenforceable, the rest will remain in effect.

Our failure to enforce a provision does not waive our right to enforce it later.

We may assign these Terms as part of a merger, acquisition, financing, sale of assets, or similar transaction.
