Perisclaw Partner Program Terms

These terms govern the Perisclaw Partner Program, operated by Hashlabs Holdings Inc. (“Perisclaw”, “we”, “us”). By applying to the program or participating in it, you agree to these partner terms and to the general Perisclaw Terms of Service. The general terms apply to you at all times, both as a user of Perisclaw and as a partner. If these partner terms conflict with the general terms on a matter specific to the program, these partner terms control.

1. What the program is

The Perisclaw Partner Program lets approved partners introduce Perisclaw to their audience and earn a commission on the payments of customers they refer. Referrals are tracked, and commissions are calculated and paid, through Dub Partners, our partner platform. Your use of Dub is also subject to Dub’s own terms.

2. Joining the program

You apply through our partner application. We review every application ourselves and approval is at our discretion. We may decline an application, or remove a partner from the program, without owing a reason.

To join you must be at least 18 years old, able to enter a binding contract, and able to receive payouts through a method Dub supports in your country.

Participation is conditional on you complying with the general Perisclaw Terms of Service, including its acceptable-use rules, in everything you do as a partner and as a user of the product. A breach of the general terms is also a breach of these partner terms.

Once approved, you receive a personal partner link, a Perisclaw invite code, and access to a partner dashboard. These are personal to you. Don’t sell, rent, or transfer them.

3. Your relationship with us

You are an independent partner, not our employee, agent, franchisee, or legal representative. You cannot make commitments on our behalf, and nothing in the program creates a partnership or joint venture in the legal sense. You are free to promote other products, and we are free to work with other partners.

4. Commission

Your commission rate and how long commission runs on each referred customer are shown in your partner dashboard and on the current program details page. Those are the authoritative figures for your participation.

However the rate is set, commission is always calculated on what Perisclaw actually collects: after taxes, refunds, and chargebacks, and before payment-processing fees. If a referred customer pays for an annual plan, you earn commission on the full annual payment at once.

We may change the commission rate or structure with notice to you. Changes apply to future payments only and never reduce commission you have already earned.

5. Attribution

Referrals are attributed on a last-click basis: if someone clicks more than one partner’s link, the most recent click wins. The attribution window, and how invite codes credit you when someone signs up without clicking your link, are described on the program details page. If a link and a code belong to different partners, the link wins.

The records in the partner dashboard are the authoritative record of clicks, signups, referred customers, and commissions. If you believe a referral was not attributed correctly, contact us and we will look into it in good faith, but we make the final determination.

6. Payouts

Payouts are made monthly through the payout method you connect in Dub, once your cleared balance reaches the minimum shown in your partner dashboard. Smaller balances roll over to the following month.

A commission becomes payable 30 days after the customer’s payment clears. If a payment is refunded or charged back, its commission is reversed.

You are responsible for any taxes on your commission income, and for providing any tax information Dub or we reasonably require. We may withhold payouts where the law requires it, or while we investigate suspected fraud or a breach of these terms.

7. How you may promote Perisclaw

We want partners to introduce Perisclaw honestly, to audiences that trust them. You must:

• describe the product accurately, using current product, pricing, and security information, and never promise features that are not live;

• disclose your partner relationship where the law or platform rules require it (for example, FTC-style disclosure for promoted content);

• comply with applicable laws in your marketing, including spam and consumer-protection laws.

You must not:

• send spam, or promote your link through unsolicited bulk messages of any kind;

• impersonate Perisclaw, present your content as an official Perisclaw property, or register domains, social handles, or app listings that could be confused with ours;

• run paid advertising for your partner link, or bid on Perisclaw-branded search terms, without our written approval;

• use misleading redirects, forced clicks, cookie stuffing, or any technique that manufactures attribution without a genuine referral;

• refer yourself: your own link or code earns nothing on your own purchases, and creating accounts to generate commission is fraud;

• offer unauthorized rebates, cash-backs, or other incentives that misrepresent Perisclaw’s pricing.

We may ask you to correct or remove content that misrepresents Perisclaw, and you agree to do so promptly.

8. Trademarks and materials

We grant you a limited, revocable, non-exclusive permission to use the Perisclaw name and logo solely to promote Perisclaw under these terms. Any materials we provide for the program stay ours. This permission ends when your participation ends.

9. Confidentiality

Anything non-public we share with you as a partner, such as unreleased features, roadmap information, or program data, is confidential. Don’t publish or share it without our written approval.

10. Term and termination

Either of us can end your participation at any time, with or without cause, by notice (email is enough).

• If you end it, or we end it without cause, we will pay out commission that has been earned and has cleared the holding period, on the normal payout schedule. Commission stops accruing on future payments once participation ends.

• If we end it for fraud or a material breach of these terms (including a breach of the general Terms of Service), unpaid commission is forfeited and we may reverse commissions attributable to the breach.

Sections that by their nature should survive (including payment reversals, confidentiality, disclaimers, limitation of liability, and indemnity) survive termination.

11. Disclaimers

The program, the partner dashboard, and the tracking tools are provided as is and as available. We don’t guarantee any level of earnings, referral volume, conversion, or uninterrupted tracking. Perisclaw’s features and pricing may change, and referred customers can cancel at any time.

12. Limitation of liability

To the fullest extent the law allows, our total liability to you in connection with the program is limited to the commission owed to you and unpaid at the time the claim arises. We are not liable for indirect, incidental, special, or consequential damages, or lost profits.

13. Indemnity

You will indemnify and hold us harmless from claims arising out of your promotional content and activities, your breach of these terms, or your violation of law in connection with the program.

14. Governing law

These terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules, and disputes will be handled in the courts located in Delaware.

15. Changes to these terms

We may update these terms from time to time. If we make material changes, we will notify active partners by email or through the partner dashboard. Continued participation after a change takes effect means you accept the updated terms.
